If your company is involved in the legal aspects of cross-border transactions, then the latest edition of The Global Merger Control Manual published by ProRef, is worth considering. The editors, practicing competition lawyers David J. Laing and Luis A. Gomex, exhort those involved in multinational M&A to build a full merger control analysis, such as substantive assessment, coordinated filing strategies, and process timetables, into the whole of the transaction strategy. Drawing on the international expertise of Baker & McKenzie, for whom Laing and Gomex work, as well as on the experience of other lawyers, this latest edition has been updated with recent developments in merger control laws. An important inclusion in this yearâs update is the new law in China, as well as updates from Iceland, France, Germany, Brazil and New Zealand. Merger law for El Salvador and Uruguay is included for the first time. Some interesting features of the new edition are: · A CD-Rom version of the whole Manual, for easy downloading. · Quick Reference Guide with the basic filing thresholds and timing implications of the merger control process in each country · Tabulated format, so that country information is easy to find · Summaries of merger control rules and merger legislation The editors suggest that the Manual will help company in-house legal staff, investment bankers, and lawyers research and determine the number and kind of merger notifications that will be needed for any multinational merger. They believe that the hours of research saved in a single transaction will easily justify the $425 cost of the publication.
